Memorandum of Association
   
 
  1. The Name of the company is AUSTRALIAN DEER RESEARCH FOUNDATION LTD., hereinafter called 'the Foundation'.

  2. The objects for which the Foundation is established are:
    1. To encourage research into the biology and management of deer by offering:
      1. post-graduate scholarships for study at recognised tertiary educational institutions;
      2. grants to government authorities and qualified groups or individuals to undertake programs of study or work which would significantly contribute towards the knowledge of deer or the management techniques most appropriate to deer in Australia.;
    2. To undertake research into the biology and management of deer in Australia, particularly (but without prejudice to the generality of the foregoing) to establish:
      1. the effect of the deer on the Australian environment;
      2. the relationship and impact of deer upon the flora and other fauna in the Australian environment;
      3. the management technique's most appropriate to deer in Australia.
    3. To publish the results of research into deer and such other information that would contribute towards the knowledge of deer in Australia
    4. To promote the conservation and proper management of deer and improve the status of deer, in Australia.
    5. To assist in any way deemed desirable by the Foundation any association institution or organisation incorporated or not incorporated and whether within Victoria or else-where with objects similar to these objects and which restricts the division of property among its respective members to an extent at least as great as is imposed on the Foundation.

  3. The income and property of the Foundation whencesoever derived shall be applied solely towards the promotion of the objects of the Foundation as set forth in this Memorandum of Association, and no portion thereof shall be paid or transferred directly or indirectly by way of dividend bonus or otherwise howsoever by way of profit to members of the Foundation. Provided that nothing herein contained shall prevent the Foundation from undertaking any activity to raise funds to facilitate the attainment of the objects or such other things as are incidental or conducive to the attainment of the objects, nor prevent the payment in good faith of remuneration to any officers or servants of the Foundation or to any member of the Foundation in return for any services actually rendered to the Foundation nor for goods or services supplied in the ordinary and usual way of business.

  4. The liability of the members is limited.

  5. Each member of the Foundation undertakes to contribute to the assets of the Foundation in the event of its being wound up while he is a member or within one year after he ceases to be a member, for payment of the debts and liabilities of the Foundation contracted before he ceases to be a member and of the costs, charges and expenses of winding up and for adjustment of the rights of the contributories among themselves, such amount as may be required not exceeding ten dollars.

  6. If upon the winding-up or dissolution of the Foundation there remains after satisfaction of all debts and liabilities any property whatsoever, the same shall not be paid to or distributed amongst the members of the Foundation but shall be given or transferred to some institution or institutions having objects similar or in part similar to the objects of the Foundation and which shall prohibit the distribution of its or their income and property among its or their members to an extent at least as great as is imposed on the Foundation under or by virtue of the third paragraph hereof, such institution or institutions to be determined by the members of the Foundation at or before the time of dissolution and in default thereof by such Judge of the Supreme Court of Victoria as may have or acquire jurisdiction in the matter.
